1.0 The club shall be known as Warrenpoint Boat club.
1.1 The object of the Club:-
a) To promote sailing and boating in the Warrenpoint Area
b) To preserve and improve the amenities of the Club,
c) To train and educate Cadet Members in seamanship and sailing
within Carlingford Lough.
1.2 The headquarters of the club will
be at Marine Parade Warrenpoint,
2.0 Membership shall be open to all approved by the committee but without
distinction of age. sex, race, colour or creed.
2.1 Membership of the club shall be open to boat owners and non boat owners.
2.2 Honorary members may be elected by the club from time to time, at a general
meeting, either for Life or for such time as the club may think fit. Honorary
members shall be entitled to all the privileges of Non Boat Owner
Membership and shall not be liable for any entry fees or subscriptions of that
membership.
At election of Honorary members, they must not exceed 5% of the total
number of members. They shall be elected only if they have contributed
outstanding service to boating in general or the Warrenpoint Boat Club in
particular.
2.3 A candidate for membership must be proposed and seconded by two club
members. Election shall be by ballot a majority of four fifths of those present and voting being required. Persons who are candidates for membership have no privileges whatsoever in relation to the use of the club or its premises. If elected, and after full payment of the required fees and charges, they are entitled to such privileges. Persons without voting rights shall not be admitted to membership in such numbers as would result in the number of members without voting rights being more than three times the number of members having such rights.
2.4 Any member may resign membership by giving to the Honorary Secretary
notice in writing to that effect.
2.5 Every member, by implication, undertakes to comply with these Rules.
Refusal or neglect to do so, or any conduct which in the opinion of the
committee is either unworthy of a member or otherwise injurious to the
interest of the club, shall render that member liable to expulsion by the
committee. Before expulsion of a member, the committee shall call upon
that member for an explanation of his conduct and shall give that member an
opportunity of defending himself or of resigning their membership. The vote
on a resolution for the expulsion shall be by ballot and the resolution shall
only be carried if not less than three quarter of the full Club Committee vote
for such expulsion.

3.0 Cadet- A member under the age of 18 year’s, who may own a dingy of 14 ft or under. They will not be entitled to hold any keys and may only use the club facilities under the supervision of a member. They will be permitted to store their dinghy in the boat park, free of charge, provided that it does not restrict the facilities of other boat park users.
3.1 Non Boat Owning Member- A member who does not own a boat. They will be entitled to a clubhouse key and clubhouse facilities only. Voting rights restricted to election of officers, clubhouse and social topics only.
3.2 Day Boat Member:- A member who owns a boat and removes it from the water after use, e.g. A dayboat kept at home. They will be entitled to a clubhouse key and clubhouse facilities only. Full voting rights.
33 Full Member- A member who owns a boat and keeps it on a mooring throughout the season. They will be entitled to keys and use all the clubs facilities, provided they have paid the appropriate additional fees, e.g Container / Boat Park Storage. Full voting rights
3.4 Honorary member:- A member who has been elected for their contribution to boating and the Warrenpoint Boat Club in particular. They will be entitled to the privileges of Non Boat Owning Membership. They will be- entitled to a clubhouse key and clubhouse facilities only. Voting rights restricted to election of officers, clubhouse and social topics only.
4.0 Members shall pay all such rates of subscription, entrance fees or other charges as shall be decided upon by the members at the Annual or a Special General Meeting.
4.1 The date on which the subscription shall become due shall be the 1st January in each year. Membership shall cease if the subscription is not paid by February 28th each year unless otherwise decided by the committee. In extenuating circumstances. the committee may restore a member’s name and rights without the payment of a re-entry fee.
Lapsed members will forfeit all rights to the club’s facilities and must reapply for membership. They will not carry forward any rights or privileges and will go to the bottom of relevant waiting lists
5.0 The officers of the club shall be the Chairperson. Vice Chairperson, Honorary Secretary, Honorary Treasurer and Public Relations Officers.

6 Committee
6.0 The Club shall be governed by the Committee consisting of the officers. Five ordinary members. The committee may co-opt onto itself not more than two additional members. These co-opted members shall have full voting rights on the committee.
6.1 Five members shall form a quorum and minimum of two meetings shall be held each year.
6.2 Only members who have been actively involved in the Club for two years shall be eligible as Officers or Ordinary Members of the Committee, provided that not less than two-thirds of the Committee are boat owners. No nomination shall be valid unless made at a time and in a form complying with the regulations set out in the preliminary notice of the Annual General Meeting.
6.3 The Officers and five members of the Committee shall be elected at the Annual General Meeting in each year and hold office until the conclusion of the next Annual General Meeting. The retiring Officers and Committee members will be eligible for re-election. If nominations exceed vacancies, for officers and ordinary members of the committee. election shall be by ballot of all members present and entitled to vote. Any casual vacancy during the year among the Committee may be filled by the Committee.
6.4 The Committee shall have control of the finances of the Club, may enter into contracts on its behalf, control and dismiss servants and exercise all such
administrative powers as may be necessary for properly carrying out the objectives of the club in accordance with these rules.
6.5 The Committee may, from time to time make, amend and repeal Bye-Laws
concerning the use of club property, buildings, etc. and otherwise for the good
rules and government of the Club, Such bye-Laws and any alteration thereof must be consistent with the rules.
6.6 The Committee are empowered to appoint subcommittees, consisting of their own members or of other members, and delegate to them such powers as they deem wise, but consistent with the rules. All subcommittees shall be dissolved at the Annual General Meeting if not dissolved previously by the Committee. Non committee members on subcommittees may be invited to attend committee meetings. These members shall report to the main committee the recommendations of their subcommittee They shall not be entitled to vote at that meeting.
6.7 The Finance Sub committee will be made up of 4 members of the main
committee, one member being the treasurer, however if an ordinary member of the club has financial expertise, that member may be co-opted onto the finance committee, The finance committee will monitor all club expenditure and will recommend fees and tariffs for the incoming year allowing the club to carry out capital projects and at the same time remain viable.
6.11 The Activities committee will be elected from the ordinary members of the club. They will organise fund-raising. sailing and social events. The leader of the activities committee will report their progress to the main committee on a regular basis.

The Annual General Meeting
7.0 Decide on all resolutions which may be duly submitted to the meeting. will be held in March/First Quarter of each year.
The business of the Annual General Meeting will be to:
a) Receive from the committee. a report, a balance sheet, and statement of accounts for the preceding financial year ending December 3 1st.
b) Outline the Club’s long turn objectives and capital projects to be undertaken.
c) Elect the Officers & ordinary members of the Committee and if so wished, Honorary members of the Club.
e) d) Elect auditors for the current financial year.
7.1 The Committee may at any time, for special purposes, call a Special General Meeting . They shall do so at any time upon the requisition in writing of any ten members, stating the purpose for which the meeting is required. No business may be discussed at the Special General Meeting other than that stated in the notice concerning the meeting.
7.2 Seven days at least before the general meeting. a notice is writing of such meeting and of the business to be transacted thereat shall be sent to every member entitled to vote at the Meeting.
7.3 At all General Meetings of the Club every question affecting an alteration in the Constitution shall be decided by two thirds of those members present and voting in favour of the resolution.
7.4 The quorum of a General meeting shall not be less than ten members.
7.5 When votes for and against a motion are equal the chairperson may use his casting vote.
8.0 It shall be the responsibility of the Honorary Treasurer to keep a
complete and accurate account of the Club’s finances, showing the financial affairs and disbursements of the Club.
8.1 At the Annual General Meeting in each year there shall be appointed an auditor whose duty it shall be to audit the accounts of the Club for the then current year. (the auditor will not be required if annual accounts are less than £5,000 p.a).
8.2 Accounts paid by cheque shall require the signatures of any two of the following:-
Chairperson, Honorary Treasurer or Honorary Secretary, approved committee members.
9.0 The same person shall not be admitted as a visitor to the Club premises on more than ten days in any year.

10.0 If the club, by resolution passed, at a General Meeting, confirmed by resolution at a subsequent General Meeting, held not less than twenty-one days after the first meeting, resolved to be wound up. The committee shall there upon proceed to realise the property of the Club, and after the discharge of all liabilities, shall divide the balance among the fully paid-up members and upon the completion of such division the Club shall be wound up and dissolved.
11.0There shall be three Trustees of the Club, who shall be elected at an Annual General Meeting and who shall hold office during the pleasure of the Club. The property of the Club shall be vested in the Trustees who shall deal with it as directed by resolution of the Committee of which an entry in the Minute Book signed by the Chairperson shall be conclusive evidence. The Trustees shall (in so far as the assets of the club may be deficient for that purpose) be indemnified by the members for the time being of the Club against liability and expense incurred by them by reason of their position Trustees unless the same occurs through their own wilful default. The trustees shall be ex-officio members of the club committee.

BYE LAWS
Boat Park facilities are only available to Full Members.
1. All spaces will be allocated by the committee only.
2. Under no circumstances are members allowed to reside in their boats
whilst stored in the boat park.
3. 3rd party insurance is required for all boats whilst stored in the park,
this those not include dinghies.
4. Only purpose - made cradle/trailers may be used, if required.
5. Dinghies must be stored under cradle/trailers.
6. Members using the boat park must keep it clean, all rubbish and materials
must be removed.
7. All ladders and steps must be secured with a lock and chain.
8. All cradle/trailers must he kept in a good state of repair and painted.
9. Cradle / trailer legs greater than 2 metres high when erected must be lowered when not in use.
10. The boat park must be left secured at all times.
The committee arc entitled to request the removal of a boat, cradle or trailer belonging to a member, or former member, from any other part of the club premises. Failure of the members / former members to comply with this request, will entitle the committee to carry out the request without being liable for any loss or damage howsoever caused
Club members must ensure that the Pontoon is only used for:-
1. Loading and Unloading.
2. Waiting for the next tide.
3. Emergency repairs to boats.
4. Emergency repairs to Moorings.
Maximum duration of stay = 12 days.
5. At weekends (Fri. - Mon.) pontoon facilities MUST be available to ALL boat owners.

BYE LAWS
Club members moorings in the marina area should be aware that :-
1. 3rd Party Insurance is Compulsory
2. Mooring spaces will be allocated according to boat size by the committee only.
3. Loan and subletting of moorings to be carried out on committee approval only.
4. Moorings left vacant for 6 weeks will be reallocated by the Committee if there is a waiting list.
5. Mooring positions and make-up must be approved by the committee.
6. Members awaiting
a mooring space will be placed on a Waiting list, This will be posted in he
Clubhouse..
4 USEOFKEYS
Club members should be aware that the use of keys for club facilities are :-
1. Keys will be supplied by the club only.
2. All keys will remain the property of the club
3. Members must not lend their keys to local non members.
4. Members must bear the cost of replacing lost or broken keys.
5. Replacement and additional keys must be obtained from the club only.
On cessation of membership, all keys must be returned to the club.
